These terms apply to deliveries made by Gaura Pearls, hereinafter referred to as the “Seller”, to legal entities, hereinafter referred to as the “Client”. These terms are governed by the laws of the Republic of Estonia, in particular the Law of Obligations Act (Võlaõigusseadus, hereinafter referred to as the “VÕS”).
1. Product Quality and Seller’s Liability
1.1. The Seller guarantees that the supplied jewellery items correspond to the description on gaurapearls.com, the agreed order specification, and the standard requirements applicable to jewellery made with pearls and semi-precious stones (§ 217 VÕS).
1.2. The Seller is liable for hidden manufacturing defects that existed at the time the goods were handed over to the carrier or to the Client, even if such defects are discovered later.
1.3. Taking into account the natural origin of pearls and semi-precious stones, the following characteristics of jewellery items shall not be considered manufacturing defects and shall not constitute a warranty case:
2. Seller’s Commercial Warranty
2.1. In addition to the Seller’s statutory liability under Section 1, Gaura Pearls provides the Client with a voluntary commercial warranty under the following terms:
2.2. If the Client cannot provide documentary proof of the date of sale to the end customer, as specified in Section 4.3, the warranty period shall be calculated from the invoice date and shall be 24 months.
2.3. The commercial warranty covers manufacturing defects discovered during the warranty period and does not limit the Client’s rights under the VÕS.
2.4. The warranty does not cover:
3. Storage Conditions for Goods Held by the Client
3.1. Until the items are sold to the end customer, the Client shall ensure storage conditions appropriate to the nature of the goods, namely:
3.2. Defects caused by breach of storage conditions, including clouding or cracking of pearls, tarnishing of fittings or plating, deformation of the jewellery item, formation of deposits, etc., shall not be considered manufacturing defects and shall not be covered by the warranty.
3.3. When reviewing a claim, the Seller has the right to request information and photographic materials from the Client regarding the storage conditions of the item.
4. Claims Raised by the End Customer
4.1. The supply relationship exists exclusively between the Seller and the Client. The end customer is not a party to these terms and has no right to submit claims directly to the Seller.
4.2. If an end customer discovers a defect in an item purchased from the Client, all claims shall be handled according to the following procedure:
4.3. When submitting a claim for fulfilment of warranty obligations regarding a defective jewellery item sold to an end customer, the Client shall attach a copy of the document confirming the date of retail sale, such as a receipt, invoice, or sales contract. Without such document, the warranty period shall be calculated from the date of the Seller’s invoice, as specified in Section 2.2.
4.4. The Seller does not review claims submitted directly by end customers, except where such communication has been agreed with the Client in writing.
4.5. Liability towards the end customer under consumer protection legislation, including any mandatory warranty provided by the law of the country of sale, shall be borne directly by the Client.
5. Claim Submission Procedure
5.1. Visible defects and damage during delivery: the Client must inspect and accept the goods and notify the Seller of any identified issue within 7 calendar days from the date of receipt of the order. After this period, the goods shall be deemed accepted without visible remarks.
5.2. Hidden manufacturing defects discovered later: the Client shall notify the Seller within a reasonable period, but no later than 14 calendar days from the moment the defect is discovered by the Client or the end customer, and within the warranty period specified in Section 2.1.
5.3. The claim shall be submitted to the Client’s personal manager and must include:
5.4. The Seller shall review the claim and provide a response within up to 15 business days. If necessary, the Seller has the right to conduct an examination to determine the nature of the defect: manufacturing-related, usage-related, or storage-related. Until the examination is completed, the question of replacement or repair remains open.
6. Methods of Settlement
6.1. If a manufacturing defect is confirmed, the Seller, in agreement with the Client, shall:
6.2. The choice of the specific method of settlement remains with the Seller, based on reasonableness and technical feasibility, taking into account the interests of the Client.
7. Returns and Exchanges
7.1. Return of goods of proper quality to the Seller is not possible. The Seller accepts returns and exchanges only for items with a confirmed manufacturing defect.
7.2. Goods may be returned only after prior written approval from the Seller. Goods sent without prior approval will not be accepted.
7.3. The Client must return the goods in their original packaging and in the set corresponding to the invoice.
8. Shipping Costs and Cargo Insurance
8.1. All outgoing parcels are shipped insured; the cost of insurance is included in the invoice. The Client has the right to refuse insurance by sending a written request to the Seller before paying the invoice. In case of refusal of insurance, the risk of loss of or damage to the cargo during transportation passes to the Client from the moment the cargo is handed over to the carrier.
8.2. Shipping costs in a warranty case, where a manufacturing defect has been confirmed by the Seller, shall be borne by the Seller — both the shipment of the defective item from the Client and the return shipment of the repaired or replaced item.
8.3. If, based on the examination results, the defect is recognised as usage-related, connected with breach of storage conditions under Section 3, or otherwise not covered by the warranty under Section 2.4, shipping costs in both directions, as well as the costs of any separate independent examination, shall be paid by the Client.
9. Actions in Case of Damage During Delivery
9.1. If damage to the packaging or goods is discovered upon receipt, the Client must:
9.2. If the parcel is insured: the Seller shall independently file an insurance claim with the logistics company and shall replace the goods or repair them at its own expense. The Client is only required to provide photo materials and preserve the packaging. The return of the damaged parcel to the Seller shall be agreed separately between the Seller and the Client.
9.3. If the parcel is not insured, as specified in Section 8.1, responsibility for the safety of the cargo during transportation lies with the carrier selected or approved by the Client. All claims for damage caused during transportation shall be submitted by the Client to the carrier independently. If necessary, the Seller shall provide the Client with informational assistance, such as copies of waybills and packing lists.
10. Applicable Law and Dispute Resolution
10.1. These terms shall be governed by the laws of the Republic of Estonia.
10.2. All disputes that cannot be resolved through negotiations shall be subject to the jurisdiction of Harju County Court (Harju Maakohus), Estonia.
10.3. These terms form an integral part of the wholesale supply terms between the Seller and the Client and shall apply unless otherwise expressly agreed by the parties in writing.
